Le présent contrat annule tout accord, disposition ou contrat antérieur à son entrée en vigueur, entre : La Société Nationale d’Aménagement et D’exploitation des terres du Delta du Fleuve Sénégal et de la Falémé, ci-après dénommée « la SAED » représentée par le Directeur de la Délégation d’une part, et L’Union des GIE de ------------------------------------------- immatriculée par le tribunal de Commerce de Saint Louis en date du ------------------ sous le numéro----------- représentée par son Président, ci-après dénommé Union de ---------------------, d’autre part. Toutes deux dénommées ci-après « les parties » : Considérant : 1. Que la bonne gouvernance est la condition pour assurer une exploitation optimale durable des infrastructures réalisées par la puissance publique ; 2. Que l’aménagement et ses équipements sont des biens publics installés sur le domaine national et sur le domaine public de l’Etat et dont la gestion obéit à des règles spécifiques et engage leurs responsabilités ; 3. Que les aménagements et les équipements faisant l’objet de ce contrat sont propriétés de l’Etat du Sénégal, sauf stipulation contraire rendant cette clause caduque ; ils ne peuvent être vendus, ni loués, ni prêtés ; 4. Que l’union n’est qu’usufruitière et par conséquent n’a qu’un droit d’usage et de jouissance dans les conditions et la durée prévues par le présent contrat.
